STATE
REGULATORY SERVICES Koopmann
is an authorized Service Center for Kelly Registration Systems.
Using the KPRS-GOLD system we build a CLIENT registration database and
use it to manage activities related to state registrations, re-registrations and
reports. The data files that we
build are the property of our CLIENT, and are provided to them, should they
desire to lease the KPRS-GOLD software and handle state registration activities
themselves at some time in the future. Scope
of Work - New Registrations: Establishment
of the CLIENT State Registration Database, including electronic files of EPA
Approved Labels, In Commerce Labels, MSDS's and other supporting documents.
Preparation, submission and monitoring of state registration documents.
This includes: preparation of individual state registration forms (in the
quantity required by the individual states), packaging these forms and
supporting documents for submission to states, requesting Client checks or
preparation of KOOPMANN checks to pay the required state fees (from CLIENT
funds), mailing via USPS, acting as CLIENT representative to answer state
questions, preparation of periodic status reports for CLIENT, and providing cost
accounting data as required by CLIENT. Scope
of Work - Registration Renewals: Management
of the CLIENT state re-registration requirements. This includes: preparation of individual state renewal forms,
packaging these forms and supporting documents for submission, reporting of
sales data, as required, for selected states, requesting Client checks or
preparation of KOOPMANN checks to pay the required state fees (from CLIENT
funds), mailing via USPS, acting as CLIENT representative to answer state
questions, maintenance of CLIENT state database, preparation of periodic status
reports for CLIENT, and providing cost accounting data as requested by CLIENT. KOOPMANN
Fees - New Registrations: Fees
are quoted based upon the Client's requirements and taking into consideration
the number of products and number of states that are handled at the same time.
KOOPMANN
ees - Renewals and Maintenance: Based
on volume of work and the client's desires, we will propose a monthly retainer
(billable quarterly) or a cost per state arrangement. KOOPMANN
Fees – Supplemental: The
registration and renewal activities described on the Scope of Work provide for
routine state registration activities. KOOPMANN reserves the right to invoice
CLIENT for additional work involved in meeting unique and extraordinary state
requirements. Such activity and
billing would not be done without CLIENT's prior approval. CLIENTS are billed on an actual time basis at the current
billing rate for the work performed. State
Fees: Each
state requires the payment of registration and re-registration fees based on the
individual state's regulations. Clients
can write the individual state fee checks and provide them to KOOPMANN for
inclusion with the submission packet or KOOPMANN can write the state fee checks.
If KOOPMANN writes the checks, CLIENT will be required to provide KOOPMANN
a cash
advance prior to releasing the state fee checks. The advance will be separately
accounted for and CLIENT will be provided a detailed invoice of all state
payments made from the advance account. Representative
Authorization: CLIENTS
appoint KOOPMANN as their Agent for the purpose of handling the state
registration and renewal activities. As
CLIENT's Agent, KOOPMANN would be identified on the state registration forms as
the contact person for any questions related to the registrations.
KOOPMANN'S address would be the official mailing address for
correspondence received from the states. KOOPMANN
then takes action as necessary to acknowledge/respond and/or forward state
correspondence to CLIENT. Confidentiality: All
activities are covered by a Confidentiality Agreement.
CLIENTS work directly with the KOOPMANN regulatory staff assigned to
handle their account. KOOPMANN functions as a part of the CLIENT's regulatory
staff. For
